By purchasing any service, submitting an intake form, running an audit scan, or using any of our products, you accept these terms in full. If you do not agree, do not use our services.
These terms, together with the Privacy Policy and any applicable Brain NDA, constitute the entire agreement between you and Anthony Spitaleri LLC. The Brain NDA takes precedence for matters specific to the Brain product. For all other matters, these terms govern.
You own the work product we deliver to you. Fix files installed on your site, blog posts delivered after payment, coaching action items, business plans, and strategic decisions created during coaching are yours. You may keep, modify, or remove them.
We own the tools, methodology, and systems used to create that work product. This includes our audit tool, fix generator software, content generation pipeline, monitoring scripts, coaching frameworks (The Build Framework, Phase Check Diagnostic, Sprint methodology), prompt engineering, AI officer system, BrainEngine automation, training data, and all proprietary systems. These are not included in any purchase. You are licensing the output, not the system.
Coaching framework license. Coaching clients receive a perpetual, non-exclusive license to apply the frameworks learned during coaching to their own business operations. This license survives the end of the coaching relationship. You may not package, brand, teach, license, or resell the frameworks as a standalone offering or as part of a competing coaching program.
If you are a coach, consultant, or service provider who serves clients of your own: your standard coaching license covers applying the frameworks to operate your own business. It does not cover deploying, teaching, or reselling the frameworks to your clients. If you want to use our methodology with clients you serve, contact us about an Operator License, which is a separate engagement with separate terms.
You may not reverse engineer, copy, distribute, or create derivative works based on our tools, systems, or methodology. Sharing your results, your score, or your before and after report is encouraged. Sharing how the system works is not.
The AI Visibility Audit at anthonyspitaleri.com/audit/ is free to use. By clicking "Scan My Site," you consent to your business URL being sent to third party AI services (ChatGPT, Gemini, Perplexity) to test your AI citation status. By entering your email to receive detailed results, you consent to being added to our email list (Kit). You may unsubscribe at any time.
We store your email, name, business URL, and audit score for the purpose of delivering results and relevant follow up. Audit scan data (score, pillar breakdown, domain) is logged without personal information for aggregate analysis and content creation.
The audit tool is publicly accessible. You may run it independently at any time to verify your score before or after any service we provide.
We implement technical AI visibility fixes on your website based on the results of an AI Visibility Audit. Deliverables include:
Content writing, ongoing SEO, website design, graphic design, Google Ads management, social media management, security audits, hosting management, or any work beyond the specific technical fixes identified by the audit.
We use a WordPress Application Password with limited scope to deploy fixes. We do not use or request your primary WordPress login credentials. All website credentials are automatically purged within 24 hours of service delivery by an automated retention script. We do not access your website after delivery unless you engage us for additional services.
Before making any changes, we create a full database export and file backup of your website. This backup is stored on your server. If any fix causes an issue, we restore your site to its exact pre-deployment state at no additional cost.
If your AI Visibility Audit score does not improve by at least 15 points after fixes are installed and verified, we will refund the full $497.
We re-run the audit 48 hours after deployment. The before and after scores are documented in a proof report emailed to you. You may independently verify by running the audit yourself at anthonyspitaleri.com/audit/.
Guarantee applies to: Technical Foundation, Search Readiness, AI Discoverability, Social and Sharing, Schema and Authority, Local and Review Presence.
Guarantee does not apply to: AI Citation Reality (depends on third party AI engines re-indexing your site, 2 to 4 weeks) or Content Signals (depends on your content publishing activity).
Fixes are delivered within 72 hours of receiving your completed intake form and website access credentials. The timeline may be extended if you provide incomplete information requiring follow up, your hosting environment presents unforeseen technical limitations, or factors outside our reasonable control (illness, platform outages, third party API downtime) delay access or deployment. We will notify you promptly with a revised estimate.
By submitting the intake form, you authorize us to access your website via the provided Application Password, install the described technical fixes, create a pre-deployment backup, and re-run the audit for before and after documentation.
What we do: We re-run the AI Visibility Audit on your website weekly, compare scores, send monthly reports, and alert you if your score drops by more than 5 points in a single week.
What monitoring does not do: Monitoring reports what it observes. It does not diagnose security incidents, fix issues, write content, or manage your website. If monitoring detects a score drop caused by a security compromise, we alert you immediately but resolving the incident is your responsibility. Monitoring is an observation service, not a managed security service.
Cancellation: Cancel at any time. No contracts. No cancellation fees. Your next billing date is your last service date.
What we do: We generate AEO-optimized blog content for your website based on your business, keywords, and voice. Content is delivered as drafts for your review and approval before publishing.
You own every blog post we deliver after payment. You may publish, modify, repurpose, or remove them.
We own the content generation pipeline, prompts, multi-LLM routing system, and methodology used to produce the content.
The specific deliverables, session cadence, and communication channels for your engagement are confirmed in a Coaching Scope document provided before coaching begins. That document becomes part of these terms by reference.
Session content is private. We will not disclose your business details, financials, strategies, challenges, or personal information to any third party. We may use anonymized patterns, themes, and general insights for content creation, training materials, and methodology improvement. Anonymization means a minimum of three identifying details are changed (industry, location, gender, business size, or revenue range) so that no published content can be traced to a specific client. No identifying details will be included without your explicit written consent.
Sessions missed by either party with less than 24 hours notice may be rescheduled within 14 days. Sessions not rescheduled within 14 days are forfeited.
Either party may end the coaching engagement with 30 days written notice (email is sufficient). There is no refund for sessions already delivered. Prepaid unused sessions are credited 100% toward any future service (coaching, Fix Pack, monitoring, or strategy call) within 12 months of cancellation. After 12 months, unused credits expire.
Coaching is not therapy, legal advice, financial advice, or medical advice. We provide strategic business coaching based on experience, frameworks, and analysis. We do not guarantee specific business outcomes, revenue targets, or results. You are responsible for your own business decisions.
If you receive a Brain installation (AI knowledge management system) as part of your coaching engagement:
If coaching ends: We schedule a 30 minute wind-down session to walk you through what continues, what stops, and how to maintain your data independently. You keep your Brain folder and all data. BrainEngine automation triggers are deactivated within 7 business days. The data is yours. The engine is licensed, not sold.
All coaching sessions are recorded for quality assurance, session documentation, and internal system improvement. By accepting these terms, you consent to the recording of all coaching sessions (audio and/or video) in accordance with Florida Statute 934.03.
Recordings are used for:
Recordings are never published, shared with third parties, or made available to anyone outside our internal systems. You may request copies of your session recordings at any time during the engagement.
AI generated derivatives. Insights, summaries, analyses, and coaching suggestions generated by our AI systems using anonymized data are our intellectual property. These derivative outputs do not contain your identifiable information and are used solely to improve the quality of coaching and products we deliver. We do not sell, license, or provide anonymized derivative outputs to third parties.
You may revoke recording consent at any time by notifying us in writing. Future sessions will not be recorded. Revoking consent does not affect previously recorded sessions, which remain subject to the anonymization and use terms above.
What we collect: Name, email, business URL, audit scores, intake form information (business details, website credentials, social links), and coaching session content.
How we store it: Data is stored server-side in encrypted, non-public directories on our web server (hosted by Kinsta under a Data Processing Agreement). Website credentials are used solely for deployment and automatically purged. Intake records are automatically deleted after 30 days.
What we do not do: We do not sell your data. We do not share your personal information with data brokers, advertisers, or any third party for their own marketing purposes. We do not retain website credentials beyond the deployment period.
Full details of what we collect, how we store it, and your rights are in our Privacy Policy, which is incorporated into these terms by reference.

Retention periods are enforced by an automated script that runs daily. When a retention window expires, the data is permanently deleted from our server. A non-identifying proof-of-service hash is retained indefinitely to document that work was performed.

AI vendor training exclusions. All AI queries use API endpoints, not consumer interfaces. Under current API terms: Anthropic does not use API data to train models. OpenAI does not use API data for training unless opted in. Google Gemini API data is not used for model improvement. We review vendor policies quarterly and update this disclosure if terms change.
This website uses Google Analytics 4, Meta Pixel, and Kit tracking cookies. A cookie consent banner allows you to accept, manage, or reject tracking before any scripts load. Details and opt-out controls are available in our Privacy Policy.
California residents have the right to: know what personal information we have collected, delete it, correct inaccurate information, limit the use of sensitive personal information, opt out of any sale (we do not sell data), and receive equal service regardless of exercising these rights.

EU/EEA residents have the right to: access, rectify, erase, restrict, object to processing, and port your personal data.

We use anonymized, aggregate data to create educational content and improve our services. Anonymization means we change a minimum of three identifying details (industry, location, business size, revenue range) so that no published data can be traced to a specific business or individual. We never publish your business name, URL, score, or identifiable details without your explicit written consent.
In the event of a data breach involving your personal information, we will notify affected individuals within 72 hours of discovering the breach. Notification will include the nature of the breach, the categories of data affected, and steps we are taking to address it. We will also notify relevant regulatory authorities as required by CCPA, GDPR, or Florida law.
You warrant that your website does not contain malware, illegal content, or materials that infringe on the rights of any third party. You agree to indemnify and hold harmless Anthony Spitaleri LLC from any claims, damages, or liabilities arising from the content or condition of your website that existed prior to our engagement.
You warrant that any information you provide (business details, credentials, intake form data) is accurate and that you have the authority to authorize the services described in these terms.
We are not responsible for changes to your website made by third parties, hosting providers, plugins, or theme updates after our work is delivered. We are not responsible for your search rankings, AI citations, website traffic, leads, or revenue. We fix technical issues identified by the audit and provide coaching guidance. The business results that follow depend on your content, market, and execution.
Total liability for any claim related to our services is limited to the amount you paid for that specific service in the 90 days preceding the claim.
Mediation first. Before initiating any legal proceeding, both parties agree to attempt good faith mediation.
Arbitration for claims under $10,000. Disputes where the amount in controversy is less than $10,000 shall be resolved through binding arbitration in Broward County, Florida, in accordance with the rules of the American Arbitration Association. The arbitrator's decision is final and binding. Each party bears their own costs.
Litigation. Claims exceeding $10,000 not resolved through mediation may be pursued in the state or federal courts of Broward County, Florida.
Severability. If any provision of these terms is found unenforceable or invalid, the remaining provisions remain in full force and effect.
No waiver. Failure to enforce any provision does not constitute a waiver of that or any other provision. A waiver is only effective if made in writing.
Assignment. We may assign these terms in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee honors existing obligations. You may not assign without our written consent.
Governing law. These terms are governed by the laws of the State of Florida. Venue for any proceeding shall be Broward County, Florida.
Entire agreement. These terms, the Privacy Policy, any applicable Brain NDA, and any Coaching Scope document constitute the entire agreement between you and Anthony Spitaleri LLC.
Changes. We may update these terms as our services evolve. The "Last updated" date reflects the most recent revision. Material changes will be communicated via email to active clients and subscribers. Continued use of our services after notification constitutes acceptance of updated terms.
