Version: April 2, 2026 · Supplement to the Coaching Agreement
This agreement protects the proprietary systems, methodology, and technology that Anthony Spitaleri LLC ("Provider") builds and installs for coaching clients. It supplements the Coaching Agreement and applies to all clients who participate in the 90-Day Build Sprint or receive a Brain installation.
The real intellectual property is the methodology and the system design, not any single file or script. This agreement protects both.
Client agrees not to disclose, copy, reproduce, distribute, or reverse engineer any of the following:
Client may discuss the existence and general capabilities of the Brain ("I have an AI system that helps me run my business") but may not share implementation details, screenshots of system prompts, or code.

Client's data stays in Client's systems. Client's Brain folder, Google Drive data, pipeline records, session notes, and business plans are stored in Client's Google account. Provider does not have persistent access to Client's Brain data after installation.
Provider's data stays in Provider's systems. Provider's internal Brain, coaching records, other client data, and system development files are completely separate from Client's Brain. There is no cross access between client Brains or between any client Brain and Provider's internal systems.
If coaching ends (for any reason):
Provider will schedule a 30-minute wind-down session to walk Client through what continues to function, what stops, and how to maintain their data and content independently.
To be clear: your business data is always yours. The engine that processes it is licensed, not sold. When the coaching relationship ends, you keep everything you built. The automation stops, but your work product remains.
Client acknowledges that a breach of this agreement (particularly unauthorized distribution of the system architecture or BrainEngine code) would cause irreparable harm to Provider's business. In addition to any other legal remedies, Provider may seek injunctive relief to prevent further disclosure. Client agrees to pay Provider's reasonable attorney fees if Provider prevails in an enforcement action.
Both parties agree to attempt good faith mediation before initiating legal proceedings. Claims under $10,000 shall be resolved through binding arbitration in Broward County, Florida. Claims exceeding $10,000 may be pursued in the state or federal courts of Broward County, Florida.
Severability. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
No waiver. Failure to enforce any provision does not constitute a waiver of that or any other provision.
Assignment. Provider may assign this agreement in connection with a merger, acquisition, or sale of substantially all assets. Client may not assign without Provider's written consent.
This agreement supplements the Terms of Service and Privacy Policy at anthonyspitaleri.com. In the event of a conflict, this agreement takes precedence for matters specific to the Brain product and system confidentiality. Florida law governs this agreement.

Anthony has been notified. Your Brain installation will be scheduled as part of your Sprint onboarding.
